Terms of Service

These Terms of Service (the “Terms”) govern access to and use of the Dalgone application, browser extension, website, and related services (the “Service”), operated by Dalgone Corp (“Dalgone”, “we”, “us”). By creating an account, installing the extension, or using the Service, you agree to these Terms on your own behalf and on behalf of the organization you represent (“you”, the “Customer”). If you do not agree, do not use the Service.
1. The Service
Dalgone connects a Customer’s Gmail account with the Customer’s own Odoo instance. It suggests which Odoo records an email may relate to and, at the user’s direction, posts email content, rendered images, and attachments to the Customer’s Odoo. Dalgone is a conduit and productivity tool: your Odoo instance, your Google account, and all data in them remain yours and your responsibility.
2. Accounts and security
You must provide accurate information and keep your credentials confidential. You are responsible for all activity under your account and seats. You must have the authority to connect the Odoo instance and Google account you connect, and you represent that such connections do not violate any agreement or law that binds you.
3. Subscriptions, billing, and trials
Paid plans are billed in advance, per seat, monthly or annually, via our payment processor (Stripe). Plans renew automatically until cancelled. Usage allowances (such as AI actions and logged emails) are pooled per organization and reset monthly; unused allowances do not roll over. Except where required by law, fees are non-refundable. We may change pricing with at least 30 days’ notice, effective at your next renewal. Trial and free tiers are provided as-is and may be modified or withdrawn at any time.
4. Acceptable use
You agree not to:
- use the Service in violation of law, including privacy and anti-spam laws;
- attempt to access another customer’s data or probe, scan, or test the vulnerability of the Service without written authorization;
- resell, sublicense, or provide the Service to third parties as a service bureau;
- reverse engineer the Service except to the extent permitted by law;
- use the Service to process data you lack the legal right to process.
5. Customer Data and responsibilities
“Customer Data” means email content, attachments, Odoo records, and other data processed through the Service on your behalf. You retain all rights in Customer Data. You grant us a limited license to process Customer Data solely to provide the Service. You are solely responsible for: (a) the accuracy and lawfulness of Customer Data; (b) what you choose to post into your Odoo instance; (c) configuring and securing your own Odoo and Google accounts; and (d) your own backups. Emails you save are PHI-scrubbed, then encrypted at rest on our servers and isolated to your tenant; you can delete them at any time.
6. AI features — important disclaimer
The Service uses artificial intelligence to suggest, classify, and extract information (for example, suggesting which Odoo record an email belongs to). AI output is probabilistic and may be incorrect, incomplete, or misattributed. Suggestions are aids, not decisions: a human user chooses what to post and where. You are responsible for reviewing AI-assisted output before relying on it. Dalgone disclaims all liability for actions taken in reliance on AI suggestions.
7. Health and other sensitive information
The Service is a general-purpose business tool. It is not designed for, and we make no compliance undertakings regarding, health information regimes (including HIPAA, PHIPA, or similar laws). We do not sign Business Associate Agreements. While the Service applies automated screening intended to prevent certain personal identifiers from reaching AI providers, this screening is best-effort and not a compliance control. If your use involves regulated health information, you are solely responsible for determining whether the Service is appropriate and lawful for that use.
8. Third-party services
The Service interoperates with services we do not control, including Google (Gmail), Odoo instances, Stripe, and AI providers (such as Anthropic). Their availability and conduct are outside our control, and your use of them is governed by their terms. Dalgone is an independent product and is not affiliated with, endorsed by, or sponsored by Odoo S.A. or Google LLC. “Odoo” and “Gmail” are trademarks of their respective owners, used only to describe interoperability.
9. Intellectual property
We own the Service, including all software, designs, and trademarks. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you provide may be used by us without obligation.
10. Warranty disclaimer
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT SUGGESTIONS WILL BE CORRECT, THAT DATA POSTED TO YOUR ODOO WILL BE COMPLETE OR PROPERLY FORMATTED, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (B) DALGONE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR CAD $100 IF YOU ARE ON A FREE PLAN). THESE LIMITS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
12. Indemnification
You will defend and indemnify Dalgone against third-party claims arising from: (a) Customer Data; (b) your use of the Service in violation of these Terms or law; or (c) your connection of accounts or instances you were not authorized to connect.
13. Suspension and termination
You may cancel at any time, effective at the end of the billing period. We may suspend or terminate the Service for material breach, non-payment, or risk to the Service or other customers. Upon termination, your right to use the Service ends; data already posted to your Odoo is unaffected (it is in your systems). Sections 5–12 and 14–15 survive termination.
14. Changes
We may update these Terms. Material changes will be notified (e.g., by email or in-app) at least 14 days before taking effect; continued use after the effective date is acceptance. We may modify the Service itself, provided core functionality is not materially reduced during a paid term.
15. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The courts located in Ontario have exclusive jurisdiction, and each party irrevocably attorns to them. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
